Consultant Terms of Service

I. Overview & Parties

1.1 Services

Full Stack HVAC ("FSH", "we", "us", or "Platform") operates a marketplace directory that lists independent HVAC and home services consultants. This service allows:

• Consultants to create public profiles describing their expertise and services
• Potential clients to discover consultants and contact them
• FSH to facilitate initial introductions via email

FSH does not:

• Employ consultants or establish employment relationships
• Process payments between consultants and clients
• Provide services or advice directly
• Guarantee outcomes of consultant services
• Vouch for consultant qualifications or conduct

1.2 The Consultant's Role

A "Consultant" is an independent business professional who creates a profile on FSH to advertise their services, maintains independent practice (not an employee of FSH), is solely responsible for all client relationships, deliverables, and outcomes, and accepts these terms in exchange for access to FSH's directory.

1.3 Agreement

By creating a Consultant Profile on FSH, you ("Consultant", "you", "your") agree to be bound by these Consultant Terms of Service. If you do not agree, do not create a profile.

II. Consultant Qualifications & Representations

2.1 Professional Qualifications

You represent and warrant that you hold appropriate licenses and certifications, are legally permitted to practice, hold appropriate insurance, and have not been barred or sanctioned by professional licensing boards.

Consequences of misrepresentation: If FSH discovers that you have misrepresented your qualifications, FSH may immediately suspend or remove your profile and pursue legal remedies.

2.2 Accuracy of Profile

You represent that all information in your profile is accurate, truthful, current, and not misleading. You agree to update your profile promptly if any information changes.

III. Limitations of FSH's Liability & Role

3.1 FSH Is a Directory, Not a Service Provider

Critical Understanding: FSH is a platform for introductions only. FSH does not employ you, direct your work, provide services to clients, oversee your conduct, guarantee client satisfaction or payment, or provide insurance.

You are an independent contractor operating your own business.

3.2 No Liability for Consultant Conduct

FSH shall not be liable for the quality or outcome of your services, client payment issues, your conduct, or any complaints or claims arising from your work.

3.3 No Vetting or Endorsement

Clients are solely responsible for evaluating consultants. FSH does not conduct background checks, verify qualifications, or endorse any consultant. FSH's listing of a consultant does not constitute endorsement or verification.

IV. Consultant Obligations

4.1 Professional Conduct

You agree to maintain professional standards, provide honest and competent advice, disclose limitations of your expertise, honor applicable codes of conduct, maintain client confidentiality, and not engage in fraud or deception.

4.2 Compliance with Law

You are responsible for complying with all applicable laws, maintaining required licenses and insurance, paying all taxes, and adhering to data privacy and consumer protection laws (PIPEDA, provincial privacy laws).

V. Financial Arrangements

FSH does not process payments, hold escrow, take commission, or guarantee payment from clients. All financial arrangements between you and clients are direct and independent of FSH. You have full discretion over your rates, pricing, and payment methods.

VI. Intellectual Property & Data

You grant FSH a non-exclusive, royalty-free license to display your profile on the platform. You retain ownership of your name, credentials, and content. You may revoke this license by deleting your profile.

You are responsible for protecting client personal information and complying with PIPEDA and provincial privacy laws.

VII. Profile Management & Removal

You may edit or delete your profile at any time. FSH may suspend or remove your profile for breach of terms, legal violations, client complaints, manipulation, or platform safety concerns. FSH will attempt to notify you and provide 7 business days to respond.

VIII. Limitation of Liability

FSH is provided "AS-IS" and "AS-AVAILABLE." FSH makes no warranties regarding consultant profiles, qualifications, or services.

Total liability cap: FSH's total liability shall not exceed $100 CAD or the amount paid to FSH in the preceding 12 months, whichever is less.

IX. Indemnification

You agree to indemnify, defend, and hold harmless FSH from any claims arising from your services, conduct, profile content, or regulatory issues. This indemnity applies even if the claim is unfounded.

X. Termination

You may terminate at any time by deleting your profile or contacting trust@fullstackhvac.com. FSH may terminate for cause (immediately) or convenience (30 days' notice). Indemnification, limitation of liability, confidentiality, and dispute resolution provisions survive termination.

XI. Confidentiality & Privacy

FSH collects profile information, inquiry activity, and usage analytics to operate the directory. FSH will not sell your personal information. You have rights under PIPEDA and provincial privacy laws to access, correct, or withdraw consent for your information.

XII. Dispute Resolution & Governing Law

These terms are governed by the laws of Nova Scotia, Canada. Before formal action, you agree to attempt informal resolution by contacting trust@fullstackhvac.com with 14 days for response. Any legal proceedings shall be brought in Nova Scotia courts.

You agree that any proceeding shall be conducted on an individual basis, not as a class action.

XIII. Modifications

FSH may modify these terms with at least 30 days' notice. Continued use after the notice period constitutes acceptance.
