Terms of Service

Defined Terms

Throughout these Terms of Service, the following terms have specific meanings:

  • Customer Content: Photos, logos, business information, and other content you upload or provide to Full Stack HVAC
  • AI-Generated Content: Website copy, page descriptions, market research, and other content generated by our AI systems based on your business information
  • Community Content: User-generated content posted on our platform by contractors, including reviews, testimonials, ratings, and feedback
  • Platform Content: Full Stack HVAC-authored or edited content, including editorial compilations, rankings, industry research, and moderated community materials

1. Service Description

Full Stack HVAC ("we," "us," "our") provides an AI-assisted website builder designed specifically for HVAC contractors. Through our onboarding wizard, we collect information about your business and use artificial intelligence to research your market, generate website content, and build a professional website on your behalf.

2. What You Receive

  • A demo website generated from the information and photos you provide during onboarding
  • AI-researched content tailored to your business, services, and service area
  • Upon your approval, a published website hosted on our platform

3. Content Ownership

Customer Content

You retain all rights to Customer Content you upload or provide. By submitting Customer Content, you grant Full Stack HVAC a license to use it for the purpose of building and hosting your website, conducting market research on your behalf, and analyzing content for quality and compliance purposes.

AI-Generated Content

AI-Generated Content (website copy, page descriptions, and market research summaries) is licensed to you for use on your website. You may edit, modify, or replace any AI-Generated Content. Full Stack HVAC retains no ownership interest in AI-Generated Content once licensed to you.

3a. Platform Content & Compilation Rights

Full Stack HVAC retains all rights to Platform Content, including editorial compilations, rankings, industry research, aggregated ratings, and moderated Community Content. You retain the right to view and interact with Platform Content for your use of the service, but you may not reproduce, distribute, or sublicense Platform Content without our written permission.

4. Photo Usage

By uploading photos through our platform, you certify that:

  • You own or have obtained permission to use these images
  • The photos are real images directly related to your business
  • The photos are not AI-generated or stock photography

Uploaded photos are analyzed by AI to generate descriptions and determine optimal placement on your website. Photos are stored securely and used solely for your website.

5. AI-Generated Content Disclaimer

Important: Website content is generated with the assistance of artificial intelligence (specifically, language models). AI-generated content is created based on information you provide and automated research, but AI systems can and do make mistakes, hallucinate facts, or produce inaccurate information. You assume full responsibility for reviewing, verifying, and approving all AI-generated content before publication.

We recommend that you:

  • Verify all business claims, service descriptions, and credentials independently
  • Confirm regulatory compliance references, licensing requirements, and legal disclaimers
  • Check factual claims about your service area, market conditions, and competitors
  • Review all customer testimonials and claims made about your business before publication
  • Maintain personal knowledge and authority over all content published under your business name

We are not responsible for inaccuracies, hallucinations, or factual errors in AI-generated content that you approved for publication. You warrant that all content published on your website is accurate, legally compliant, and truthful.

6. Authorized Representative

By using our service, you certify that you are an authorized representative of the business for which the website is being built and that you have the authority to make business decisions and provide content on behalf of that business.

7. Service Limitations

  • We do not guarantee specific search engine rankings or business outcomes
  • Website generation times may vary based on complexity and system load
  • Some features may be limited based on your selected service tier
  • We reserve the right to refuse service for content that is illegal, fraudulent, or violates third-party rights

8. Disclaimers

The service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated content will be completely accurate. Your use of the service is at your own risk.

9. Modifications and Termination

We reserve the right to modify these terms at any time. Material changes will be communicated via the email address associated with your account. We may suspend or terminate your access to the service for violations of these terms or for any other reason with reasonable notice.

11. Limitation of Liability

Our total cumulative liability to you for any claims arising out of or related to these terms or the service shall not exceed the total fees you paid to us in the twelve (12) months immediately preceding the claim.

To the maximum extent permitted by applicable law, we exclude all liability for consequential, incidental, special, punitive, or indirect damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

We are not liable for inaccuracies in AI-generated content that you approved for publication. You are responsible for reviewing all content before and after publication.

12. Indemnification

Customer indemnification: You agree to indemnify, defend, and hold harmless Full Stack HVAC and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from content you provide, including false licensing or credential claims, unauthorized use of third-party photos, or misleading advertising claims published on your website.

FSH indemnification: We agree to indemnify, defend, and hold you harmless from claims arising from security failures within our platform that are within our reasonable control, including unauthorized access to your account data resulting from our negligence.

13. Dispute Resolution

Any dispute arising out of or relating to these terms or the service shall be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in English.

Exception: Notwithstanding the arbitration requirement, either party may pursue claims in court for: (1) intellectual property infringement or misappropriation; (2) defamation or false advertising; (3) breach of trademark or copyright law; (4) statutory privacy rights under applicable law (e.g., GDPR, PIPEDA, CCPA); and (5) violation of consumer protection laws in Nova Scotia or other Canadian provinces. These claims are not subject to mandatory arbitration.

  • Opt-out: You may opt out of this arbitration agreement by notifying us in writing within 30 days of creating your account.
  • Class action waiver: All claims must be brought on an individual basis. You waive the right to participate in any class action or representative proceeding.
  • Small claims exception: Either party may bring individual claims in small claims court for disputes within that court's jurisdiction (claims under $10,000 USD).
  • Governing law: These terms are governed by the laws of the Province of Nova Scotia, Canada, without regard to conflict of law principles. Full Stack HVAC is federally incorporated under the Canada Business Corporations Act (CBCA).

14. Community Content & Editorial Independence

Full Stack HVAC displays contractor-generated content (reviews, testimonials, ratings) on the platform. We apply content moderation and editorial judgment to maintain platform integrity. See our Community Content Policy for details on how we manage user-generated content and maintain editorial independence.

15. Acceptable Use Policy

The full Acceptable Use Policy is incorporated by reference into these Terms. In summary, you agree not to use the platform to:

  • Publish false, inaccurate, or misleading licensing or credential claims
  • Advertise services you are not licensed or legally authorized to perform
  • Send spam, conduct phishing, or engage in unsolicited commercial messaging
  • Infringe the copyrights, trademarks, or other intellectual property rights of any third party
  • Publish false or misleading advertising in violation of applicable consumer protection laws
  • Host, distribute, or link to illegal content of any kind

Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, at our sole discretion.

16. DMCA & Content Disputes

If you believe content on our platform infringes your copyright, trademark, or other intellectual property rights, please file a report through our DMCA & Content Dispute Policy. We respond to valid takedown notices in compliance with the Digital Millennium Copyright Act (DMCA) and applicable law.

17. Section 230 Notice

Pursuant to 47 U.S.C. Section 230(c)(1), and to the maximum extent permitted by law, Full Stack HVAC is not liable as the publisher or speaker of third-party content on our platform, including user reviews and community-submitted information. This protection does not apply to content authored or edited by Full Stack HVAC staff, to claims expressly excluded by statute (including intellectual property infringement, federal criminal law, and certain state laws), or to our own editorial content and platform compilations. We provide tools to report and moderate community content in accordance with our Community Content Policy.

18. Consumer Review Fairness Act (CRFA) Notice

Pursuant to the Consumer Review Fairness Act (CRFA) (15 U.S.C. § 45b), Full Stack HVAC does not:

  • Impose fees or other penalties on you for posting honest reviews of our service
  • Require you to waive the right to post honest reviews in our terms or agreements
  • Require you to assign or transfer intellectual property rights in your honest reviews
  • Threaten, intimidate, or attempt to suppress honest reviews or legal complaints to authorities

You retain the right to post honest reviews and testimonials about our services, discuss or disclose the terms of your service agreement (including pricing and refunds), and report violations to your state attorney general or the Federal Trade Commission (FTC), all without legal liability from Full Stack HVAC.

19. Auto-Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period. We will send renewal reminder emails 30 days and 7 days before your renewal charge is processed.

You may cancel your subscription at any time via your account dashboard (one-click cancellation). Cancellation takes effect at the end of your current billing period and your access continues uninterrupted until then. No partial-period refunds are issued for monthly subscriptions unless a cancellation falls within our 30-day money-back guarantee window. See our Refund Policy for full details.

20. Data Portability

You may export your website content, including HTML files and associated media, at any time from your account dashboard. This export remains available for 90 days following account cancellation. All exports are provided free of charge.

21. Free Trial

New users are eligible for a 14-day free trial. The trial begins upon successful phone verification via SMS and lasts 14 days from the verification date. No credit card is required to start a trial.

Trial Limitations

  • Trial websites are served on a *.preview.fullstackhvac.com subdomain with a visible preview banner
  • Trial sites are not indexed by search engines (noindex, nofollow)
  • Custom domain assignment, code export, and API access are not available during the trial
  • Google Business Profile integration and schema markup submission are disabled during the trial

Trial Expiration

When the 14-day trial expires without conversion to a paid plan, the site enters a read-only "expired" state. Site data is retained for 90 days after expiry. During this retention period, you may reactivate your account by subscribing to a paid plan. After 90 days, expired trial data is permanently deleted.

Trial Eligibility

One active trial is permitted per verified phone number at any given time. Phone number reuse for a new trial is permitted 90 days after trial expiry or account closure. We reserve the right to suspend or terminate trial accounts that violate these terms or our Acceptable Use Policy.
